Certification Terms, Conditions, & Privacy Policy

Before applying for the HerHeadquarters Woman-Owned Business Certification, you’re required to carefully read and agree to these Terms and Conditions (“Agreement”). By submitting an application, you acknowledge that you have read, understood, and agree to be bound by this Agreement.

If you do not agree, fully understand, or accept these Terms and Conditions, you are not authorized to apply for certification. If you are applying or using our services on behalf of a business or legal entity, you confirm that you have the authority to accept this Agreement on behalf of that business or entity. By agreeing, you bind the business or legal entity to all terms and conditions set forth herein.


1. Who can apply for HerHeadquarters Woman-owned Business Certification

1.1 Any United States-based business that meets the following criteria:

            - At least 51% owned, controlled, managed, and operated by a woman

            - That woman is a Citizen or Legal Resident of the United States of America 

1.2 Any employee, contractor, decision-maker, or owner of the business with permission and authority to represent, submit documents, share intel, and make payments on behalf of that business. 

1.3 You cannot apply for certification with HerHeadquarters if:

  • You are under 18 years of age
  • You’re applying on behalf of a business that is it not at least 51% owned, controlled, managed, and operated by a woman who is a 
  • Citizen or Legal Resident of the United States of America 
  • You do not have the permission to submit an application for the business on behalf of the majority woman owner
  • You’re unable to provide documents that are accurate, true, and current without omitting material information

2. Your Relationship with HerHeadquarters

2.1 You and the business you’re applying for Certification on behalf of, are voluntarily submitting an application to be considered for HerHeadquarters Woman-owned Business Certification. You understand that you will be required to provide an application, submit an application fee, provide required documentation, references, and other sensitive information to be considered for Certification. In no way does providing this information make HerHeadquarters a contractor, business partner, employee, affiliate, investor, or advisor of the business. Your relationship with the Company is solely that of the applicant and HerHeadquarters is a service provider.


2.2 You understand and agree that HerHeadquarters has no obligation to store, maintain or provide you a copy of any content or information that you or your references provide, except to the extent required by applicable law.


3. Independent Certification Status

3.1 The HerHeadquarters Woman-Owned Business Certification is an independent certification, not affiliated with any other certification program, and is not currently recognized by the U.S. Small Business Administration (SBA) or the federal government. HerHeadquarters is actively pursuing approval as an SBA third-party certifier.

3.2 In preparation for this designation, we may request information or documents similar to those required by the Small Business Administration and implement certain steps that align with SBA certification processes. Certification holders agree to comply with such requests and understand that these measures are intended to position our program and your certification for eventual SBA acceptance.

3.3 As a result of this pending third-party certifier status, HerHeadquarters certification holders are not eligible for federal contracts or benefits tied to SBA recognition, and the certification does not replace or fulfill requirements for government-sponsored programs or federal contracts. HerHeadquarters is committed to achieving SBA approval and will provide updates on progress as they become available. However, we cannot guarantee approval or a specific timeline for this designation.

3.4 Certification applicants must agree to provide accurate and timely documentation when requested and to adhere to any updated processes that align with SBA third-party certification standards which may be required for their certification to be federally accepted. Failure to comply may impact eligibility for the certification.

4. Certification Discretion & Decision 

4.1 You understand that applying for, submitting the application fee, and submitting the required documents does not guarantee that the business will receive HerHeadquarters Woman-owned Business Certification. The decision to certify a business or decline a certification application is solely at the discretion of HerHeadquarters and the decision will be based on the information provided in the application, documents provided, reference checks, audits, and the certification interview. If we have doubts or any questions about the accuracy, credibility, or integrity of any information provided or found during our due diligence process, we reserve the right to decline or reject your application. 

4.2 The applicant understands that due to the sensitive nature of our due diligence process, such as statements we may receive from references, we may not be able to disclose why your application was declined.

4.3 If your application for certification is declined, you can reapply for certification after three months. 


5. Information Collected

5.1 When applying for and pursuing Certification from us, you and the business you’re applying on behalf of will be asked to provide personal and business information used as part of our due diligence process. 

5.2 This information may include an application, references, and personal information such as your ID, driver’s license, passport, birth certificate, naturalization papers, and/or other forms of primary and secondary ID. The business may need to provide registration documents, bank statements, an executive summary, proof of business operations, business structure, and various other forms of documentation that provide evidence of majority ownership, operations, finances, or management of the business.

6. Confidentiality & Data Sharing 

6.1 HerHeadquarters treats your documents with the highest level of confidentiality using various security measures to protect the security of your business and personal information. This includes using SSL/TLS with RSA 2048 key encryption in our portal. This protects data between the client application and the API server, and the API server and the database. The exchange of sensitive documents is restricted to our portal for your protection.  

6.2 Your information may be shared or transferred in the following circumstances:

  • To satisfy applicable laws, regulations, legal processes, or valid governmental requests.
  • To enforce the terms of use applicable to our services.
  • To detect, prevent, or mitigate fraud, security, or technical issues.
  • To protect against imminent harm to the rights, property, or safety of HerHeadquarters, our employees, users, or the public as required or permitted by law.
  • To fulfill obligations once we become an SBA-approved third-party certifier, including sharing information or documents with the SBA as required for audits, compliance, or other certification-related purposes.
  • If HerHeadquarters participates in a merger or is acquired.

6.3 Please note that when pursuing our Certification and other services, you may be using third-party software that we use to collect, store, sort, or manage your data. Each software may have varying policies for how they use or disclose your personal information. It is your responsibility to review the privacy policy of any site or software linked to HerHeadquarters Woman-owned Business Certification process prior to providing any information on or to that site. Our terms, conditions, and privacy policy apply only to HerHeadquarters and does not apply to any third-party software we may use to collect, store, sort, or manage your information. 

6.4 In order to maintain records for audit and in compliance with applicable laws and SBA requirements, in anticipation of becoming a third-party certifier, all information and documents submitted as part of the certification process will be retained for a minimum period of six years, as mandated by SBA regulations. By applying for or maintaining certification, you acknowledge and consent to the retention and sharing of your documents with the SBA in accordance with applicable regulations. Beyond the period of six years, you can request for your information to be removed from our system as it will no longer be actively used or disclosed in the ordinary course of business. However, your information may remain in archival or backup databases in compliance with applicable laws and for record-keeping purposes.

6.5 Despite every effort to provide the highest level of security and confidentiality over your information, We cannot predict, control, or direct when issues might arise with our software or the third-party software providers we use to collect, store, sort, or manage your data. Accordingly, our liability shall be limited to the fullest extent permitted by applicable law, and under no circumstance will we be liable to you for any lost information, data, or consequential, special, indirect, exemplary, punitive, or incidental damages arising out of or related to these Terms, Conditions, and Privacy Policy of HerHeadquarters.

7. HerHeadquarters Fees

7.1 Applicants agree to pay HerHeadquarters certain fees as part of their certification application.

             - The application fee is $325 due at the time the application is submitted. 

             - A $200 renewal fee is due when submitting a renewal application. 

            - These service fee rates are subject to change.


8. No Return of Funds and No Chargebacks 

8.1 Applicants agree that, once HerHeadquarters charges their Payment Method for the application processing fee or Renewal Fee, the charge cannot be refunded, even if the applicant’s business is declined or rejected for certification or if they withdraw their application. You agree not to initiate any chargebacks from your credit card company, bank, or the like.

9. Payment Methods 

9.1 Applicants agree to designate a Payment Method and authorize us to charge that Payment Method in the full amount of the application fee or renewal fee. 

9.2 Applicants hereby authorize HerHeadquarters and our third-party payments and financial services provider to run credit card authorizations on the credit or debit card provided by the user. To the extent permitted by applicable law and subject to our Privacy Policy, you acknowledge and agree that we may use certain third-party vendors and service providers to process payments and manage your Payment Method information.

9.3 By providing Payment Method information through our Site, applicants represent that: (a) they’re legally authorized to provide such information; (b) they are legally authorized to make payments using the Payment Method(s); (c) if the applicant is an employee or agent of a business applying for certification that owns the Payment Method, that the applicant is authorized by the business to use the Payment Method to make payments to HerHeadquarters; and (d) such actions do not violate the terms and conditions applicable to applicants use of such Payment Method(s) or applicable law.

9.4 When an applicant authorizes a payment using a Payment Method via the Site or via our third-party payment and financial services provider, they represent that there is sufficient funds or credit available to complete the payment using the designated Payment Method. If the full payment is not paid, the applicant understands that we’re unable to process their application. 

10. Limits on liability

10.1 HerHeadquarters, including our products and services, are "as is," and we make no guarantees that they always will be safe, secure, or error-free, or that they will function without disruptions, delays, or imperfections. To the extent permitted by law, we also DISCLAIM ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. 

10.2 We cannot predict when issues might arise with our software or third-party software we use to provide you with services. Accordingly, our liability shall be limited to the fullest extent permitted by applicable law, and under no circumstance will we be liable to you for any lost profits, revenues, information, or data, or consequential, special, indirect, exemplary, punitive, or incidental damages arising out of or related to these Terms or HerHeadquarters, even if we have been advised of the possibility of such damages.

10.3 HerHeadquarters is not liable, and you agree not to hold us responsible, for any damages or losses arising out of or in connection with the Terms of Service, including, but not limited to: (i) your use of or your inability to use our Site or Site Services; (ii) delays or disruptions in our Site or Site Services; (iii) viruses or other malicious software obtained by accessing, or linking to, our Site or Site Services; (iv) glitches, bugs, errors, or inaccuracies of any kind in our Site or Site Services; (v) damage to your hardware device from the use of the Site or Site Services; (vi) the content, actions, or inactions of third parties’ use of the Site or Site Services; (vii) a suspension or other action taken with respect to your Account; (viii) your reliance on the quality, accuracy, or reliability of project postings, profiles, ratings, recommendations, and feedback (including their content, order, and display), Composite Information, or metrics found on, used on, or made available through the Site; and (ix) your need to modify practices, content, or behavior or your loss of or inability to do business, as a result of changes to the Terms of Service.


10.4 Additionally, in no event will HerHeadquarter, our affiliates, our licensors, or our third-party service providers be liable for any special, consequential, incidental, punitive, exemplary, or indirect costs or damages, including, but not limited to, litigation costs, installation and removal costs, or loss of data, production, profit, or business opportunities as a result of not being granted our certification in a timely manner or being declined/rejected for our certification. 


11. Benefits and Partner Services

11.1 HerHeadquarters offers certification holders a benefits package that incorporates goods, services, discounts, resources, and/or perks from third-party partners. While we strive to ensure a high-quality benefits package through quality service providers, HerHeadquarters is not responsible for the quality, availability, or results of services provided by our benefit partners, any changes to or discontinuation of services offered by benefit partners, or decisions made by benefit partners to cease their affiliation with HerHeadquarters or servicing of certification holders. While concerns regarding service provided by benefit partners can be brought to HerHeadquarters attention, the certification holder agrees to address all disputes and concerns directly with the partner organization. 


11.2 Applicants understand and accept that HerHeadquarters reserves the right to modify, discontinue, or replace any benefit at its sole discretion and without prior notice to certification holders. HerHeadquarters disclaims all liability for any loss, damage, or dissatisfaction resulting from the use of benefits provided by its partners.  

11.3 Certification holders will be notified of any new benefits or the discontinuing of benefits via email or other appropriate channels. 


12. Certification Seal Usage

12.1 Upon obtaining certification, certified recipients will receive access to the official HerHeadquarters Woman-Owned Business Certification Seal (“Certification Seal”). The Certification Seal is provided as a benefit of certification and may be used by the certified business for marketing and promotional purposes to showcase their certified status.

12.2 Certification holders agree to adhere to the following restrictions when using the Certification Seal:

  • The Certification Seal must not be edited, altered, or modified in any way, including but not limited to resizing disproportionately, changing colors, adding text, or incorporating it into other designs or logos.
  • The Certification Seal may not be used in any way that misrepresents the scope of certification, such as implying additional certifications or endorsements beyond those granted by HerHeadquarters.
  • The Certification Seal may only be used by the certified business to which it was issued and may not be transferred, assigned, or shared with any other entity.
  • The Certification Seal may not be used on products, packaging, or other materials in a manner that implies certification of a product or service, rather than the business itself.

12.3 HerHeadquarters reserves the right to revoke the right to use the Certification Seal at any time if:

  • The certified business violates the terms outlined in this section.
  • Certification is suspended, revoked, or otherwise terminated.
  • The Certification Seal is used in a way that damages the reputation or credibility of HerHeadquarters or the Woman-Owned Business Certification.

12.4 Certified businesses are encouraged to report any suspected misuse of the Certification Seal by other entities. HerHeadquarters will investigate reported misuse and take appropriate action to protect the integrity of the certification program.

12.5 The Certification Seal remains the exclusive property of HerHeadquarters. By granting usage rights to certified businesses, HerHeadquarters does not transfer ownership of the Certification Seal or any associated intellectual property rights.
